Terms, Conditions, and Disclosures Agreement for TikTok Shop Unleashed

This Agreement sets forth the legally binding terms and conditions for your participation in the "TikTok Shop Unleashed" course, hereinafter referred to as the "Course," offered by FNW Brands, LLC, a Missouri limited liability company ("Company"). By purchasing the Course, accessing the Course materials, or utilizing any part of the Course services, you ("Participant") agree to be bound by this Agreement in its entirety.

Non-Affiliation Disclosure

The Course and the Company are independent entities and are not affiliated, associated, authorized, endorsed by, or in any way officially connected with TikTok, Inc., or any of its subsidiaries or affiliates. The Course is solely the product of the Company.

Acknowledgment of Risks

Participant acknowledges that e-commerce activities, including those related to TikTok Shop and dropshipping, entail substantial financial risk and do not guarantee financial success. The Participant assumes full responsibility for all risks and agrees that the Company shall not be liable for any financial loss or damages resulting from participation in the Course.

Intellectual Property Rights

All content and materials provided in the Course, including but not limited to videos, written documents, logos, graphics, and teaching aids, are the exclusive property of the Company and are protected under copyright and other intellectual property laws. Participant agrees not to copy, distribute, display, or create derivative works without the Company's prior written consent.

Prohibited Actions

Participant agrees not to:

Re-market, sell, or claim ownership over the Course or its materials.
Distribute, broadcast, or make available Course materials to unauthorized third parties.
Engage in any activity that infringes on the Company's intellectual property rights or violates the terms of this Agreement.
Make defamatory, false, or malicious statements about the Course, Company, its employees, or affiliates that are intended to damage the reputation of the Course or Company. This includes, but is not limited to, slander, libel, or gossip that could reasonably be expected to harm the Course or Company's reputation.

Refunds and Financial Obligations

All payments for the Course are final and non-refundable. Participant is obligated to complete payment for the Course as agreed upon at the time of purchase, including adherence to any payment plans. Failure to complete payment as agreed shall constitute a breach of this Agreement.

Limitation of Liability and Waiver of Claims

Participant expressly waives any right to bring any legal action against the Company, its directors, officers, employees, or affiliates arising from or connected to the Course. This waiver includes, but is not limited to, a waiver of the right to participate in a class action lawsuit or class-wide arbitration.

Mandatory Arbitration and Governing Law

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Course shall be resolved by mandatory binding arbitration administered in Missouri, pursuant to the rules of the American Arbitration Association. This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the Participant and the Company regarding the Course and supersedes all prior agreements and understandings, whether written or oral.

Acknowledgment

By proceeding with the purchase and participating in the Course, Participant acknowledges having read, understood, and agreed to each term and condition set forth in this Agreement.

Your acceptance of these terms

By using this Site, you signify your acceptance of this policy. If you do not agree to this policy, please do not use our Site. Your continued use of the Site following the posting of changes to this policy will be deemed your acceptance of those changes.
